act BSWW consults NEO Hospital on purchase of da Vinci robot

act BSWW was advising NEO Hospital Group (that runs “Szpital na Klinach” in Kraków) on the acquisition of a uniquely modern da Vinci surgical system.

It is a medical robot developed by a US-based corporation, Intuitive Surgical. It was designed in order to facilitate complex surgery using a minimally invasive approach. It is applied predominantly during gynecological, urologic and cardiac surgeries.

The scope of the law firm’s works included negotiations with the supplier, private investors and the financing entity.

The project team was headed by Piotr Smołuch (attorney-at-law, Managing Partner). He was supported by Michał Pawlak (legal counsel, Senior Associate).

act BSWW helped a Strabag Group company acquire Caverion’s business in Poland

On February 28, 2019, Strabag PFS Austria GmbH (member of Strabag Group) signed an agreement to purchase 100% shares in Caverion Polska Sp. z o.o. The previous owner, Caverion Oyj (Finland), decided to withdraw from the Polish market. The company’s operations were focused on technical facility management.

Caverion Polska, established in 1993, had a workforce of 170. Its 2017 turnover was approx. EUR 12m, with most generated by technical facility management (and the rest by industrial installations).

The transaction value has not been disclosed.

act BSWW was advising Strabag Group throughout the process of acquisition of Caverion Polska’s shares. The scope of consulting services included a due diligence review of the company, preparation of transaction documents, support in negotiations and representation in anti-trust clearance procedures before the Office of Competition and Consumer Protection.

act BSWW advises on the purchase of shares by Europart International GmbH

Europart International GmbH, a leading trading company for spare parts and accessories for commercial vehicles, buses and special vehicles of all classes in Europe, acquired 49% shares of Europart Polska S.A. from Vesta Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych and Protyl-Serwis 44 Sp. z o.o., becoming the company’s sole shareholder. The transaction was supported by act BSWW.

act BSWW was assisting the investor at all stages of the acquisition. The range of legal services related to this share deal included preparation of the share purchase agreement and negotiations of its provisions, including all additional arrangements between the parties.

Europart has been successfully active in the car spare parts market for more than 70 years. It is now the leading partner for commercial vehicle workshops and operators of truck, trailer, van and bus fleets in Europe, with a European network of more than 300 sales stores in 28 countries.

act legal Poland (act legal Poland) was advising Comp S.A. (acting as the seller) on its M&A transaction with an entity belonging to SIBS – SGPS S.A. capital group (Portugal). The deal involved the sale of 100% shares in PayTel S.A., a company headquartered in Warsaw, holding the status of a National Payment Institution (registered with the Polish Financial Supervision Authority). The transaction is made up of four stages. The first will see Comp S.A. selling 55% shares for PLN 34m, while the remaining 45% will be sold in 3 phases of 15% each over the subsequent years. The price will be determined on the basis of specific results defined in the agreement, with the cap set at PLN 200m. The team was led by Piotr Wojnar (Attorney-at-law, Managing Partner) and Janusz Szeliński (Attorney-at-law, Partner). They were supported by Łukasz Polak (Senior Associate) and Aleksandra Sztajer (Associate).

act BSWW advised to financial investors in terms of bond issue by Murapol S.A. and a company belonging to the group Murapol S.A. – Aoram sp. z o.o. with a total nominal value of about PLN72m (in two separate issues).
Murapol S.A. issued unsecured series BA bonds with a nominal value of about PLN28m, Aoram sp. z o.o. issued secured series A bonds with a nominal value of PLN44m. act BSWW prepare all the documents related to the issues, including the documents concerning the securities established for series A bonds issued by Aoram sp. z o.o. The work on the project was supervised by Iwona Kurylak, attorney-at-law, and Piotr Smołuch, attorney-at-law.

act BSWW has advised Reino Partners and Buma Group on the Cu Office project

Reino Partners and Buma Group for the first time join efforts in a construction project. The project in Wrocław will comprise two office buildings with a total area of 23,000 m2. First offices will be delivered to their tenants by the end of 2018.

act BSWW provided legal services throughout the implementation of the project. The Warsaw lawyers handled both the due diligence of the real estate and its acquisition for the purpose of building Cu Office, offering also further advice throughout the process. They also supported Reino Partners and Buma Group in terms of establishing and operating a joint venture and in terms of the investment process.

Michał Wielhorski, managing partner, supervised the work of the legal team with the support of law firm associates Michał Sołtyszewski and Mateusz Prokopiuk.

The construction of the first, bigger (13,000 m2) office building has just started. The second, smaller building will have an area of 10,000 m2. The buildings will stand out among other projects thanks to green terraces in the 8-floor buildings as well as modern bicycle facilities.
